These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Let's Give Together (“LGT,” “we,” “us,” or “our”), a company incorporated and operating out of Manitoba, Canada. By accessing or using our Mozaics platform, which is powered by Infinity Innovations’ Infinity software (the “Software”), websites, mobile applications, platforms, and services (collectively, the “Services”), you agree to be bound by these Terms and all policies referenced herein. If you do not agree to these Terms, do not access or use the Services.

PLEASE READ THESE TERMS CAREFULLY.

By creating an account or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any additional guidelines, policies, or procedures referenced herein. This agreement governs your use of our Services and any related products, updates, and enhancements.

For purposes of these Terms, the following definitions apply:

• “Let's Give Together” or “LGT”: The authorized reseller and provider of Infinity Innovations’ White Label Solution.
• “Customer”: Any person or legal entity that registers for or uses the Services.
• “Services”: The Software, and all LGT websites, mobile applications, platforms, and services.
• “Software”: The Mozaics platform and related technology co-developed with Infinity Innovations and powered by the Infinity White Label Solution.
• “White Label Solution”: The rebranded version of the Infinity software provided by LGT under its own branding and customized user interface.
• “Account”: Your registered user account used to access the Services.
• “Fees”: Any charges, subscription costs, or other payments due to LGT in exchange for use of the Services.
• “Documentation”: Any user guides, online help, or other supporting materials made available by LGT.
  
  

LGT offers a white label version of Infinity Innovations’s Infinity software called Mozaics. As an authorized reseller, LGT customizes and rebrands the underlying Software for our Customers. Although the Software remains the intellectual property of Infinity Innovations, our Services include:

• A fully branded, customizable asset management platform;
• Customer support and account management;
• Access to updates, enhancements, and maintenance as provided by LGT.

By using our Services, you acknowledge that the underlying Software is provided under a license from Infinity Innovations and is subject to its underlying terms, which are incorporated herein by reference.

• Eligibility: You must be at least 18 years of age or the minimum age required by applicable law to register for an account.
• Account Registration: When you create an Account, you agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
• Security: You agree to notify LGT immediately if you suspect any unauthorized use of your Account.

• Permitted Use: You agree to use the Services only for lawful purposes and in accordance with these Terms.
• Prohibited Actions: You agree not to use the Services in any manner that:
  • Violates Laws: Engages in any illegal, fraudulent, or unauthorized activities.
  • Infringes Rights: Uploads, downloads, or distributes content that infringes the copyrights, trademarks, or other intellectual property rights of any third party.
  • Harms the Service: Distributes malware, viruses, or harmful software, or otherwise attempts to damage, disable, probe, scan, test, or disrupt the Services or network.
  • Abuses Resources: Generates excessive load or traffic (e.g., through automated scripts or bulk data extraction) that could adversely affect other users.
  • Resells Software: Resells, sublicenses, or distributes the underlying Software or any portion of the Services as a standalone product without LGT’s prior written consent.
  • Sends Unsolicited Communications: Sends spam or other unsolicited communications.
  • Reverse Engineers the Service: Reverse engineers, decompiles, modifies, copies, or otherwise attempts to derive the source code of the Software or any part of our Services.
  • Bypasses Security: Attempts to bypass, disable, circumvent, or interfere with any security or access controls of the Services.
  • Unauthorized Access: Accesses, tampers with, or uses non-public areas of the Service or LGT's systems.
• Compliance: Your use of the Services must comply with all applicable laws and regulations.
• Monitoring and Enforcement: LGT reserves the right to monitor usage of the Services to ensure compliance with this Acceptable Use section. In the event of a suspected violation, LGT may:
  • Investigate and review relevant usage data.
  • Suspend or terminate your access to the Services.
  • Remove or disable access to any content that violates these Terms.
  • Report the incident to law enforcement or other authorities if required.
  • Seek any other remedies available under applicable law.

You are responsible for ensuring that all users accessing the Services through your Account comply with this Acceptable Use section.

• Fees: Access to the Services may be subject to fees as detailed in your subscription or order confirmation. All fees are exclusive of taxes, which are your responsibility.
• Billing: Payment is due in accordance with the billing cycle specified in your subscription plan. If you fail to pay any fees on time, LGT reserves the right to suspend or terminate your access to the Services.
  
  

• Ownership: The underlying Software and all related intellectual property rights remain with Infinity Innovations. LGT retains the right to the customized, white labeled configuration and any proprietary enhancements we develop.
• License: Subject to these Terms, LGT grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes.
• Restrictions: You may not copy, modify, distribute, or reverse engineer any portion of the Software or proprietary enhancements provided by LGT.

Each party agrees to maintain the confidentiality of Confidential Information received from the other party and not to disclose it to third parties, except as required by law or as necessary to perform obligations under these Terms. “Confidential Information” includes any non-public information designated as confidential.

• Disclaimers: The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Limitation of Liability: To the fullest extent permitted by law, LGT’s total liability under these Terms shall not exceed the total fees paid by you in the three months preceding the claim. LGT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
• No Warranty: LGT does not warrant that the Services will be uninterrupted, error-free, or completely secure.
• Force Majeure: LGT shall not be held responsible for delays, interruptions, or failures in performance due to causes beyond our reasonable control, such as acts of God, natural disasters, governmental actions, or Internet failures.
  
  

You agree to indemnify, defend, and hold harmless LGT, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

• Your use of and access to the Services;
• Your breach of these Terms;
• Your violation of any law or the rights of a third party.

• Term: These Terms shall commence on the date you first use the Services and continue until terminated.
• Termination by You: You may terminate your account in accordance with any subscription agreement or other agreement in place relating to the provision of the Services to you.
• Termination by LGT: LGT may terminate or suspend your access to the Services in accordance with any subscription agreement or other agreement in place relating to the provision of the Services to you or immediately if you breach any material provision of these Terms.
• Effect of Termination: Upon termination, you must immediately cease all use of the Services. Provisions regarding confidentiality, intellectual property, indemnification, and limitation of liability shall survive termination.

• Governing Law: These Terms are governed by and construed in accordance with the laws of Manitoba, Canada.
• Dispute Resolution: Any disputes arising under or in connection with these Terms shall be resolved exclusively in the courts located in Manitoba, Canada. You consent to the jurisdiction of such courts.

Your privacy is important to us. Our Privacy Policy, which forms part of these Terms, explains how we collect, use, and disclose your personal information. By using the Services, you agree to our collection and use of information in accordance with our Privacy Policy.

LGT reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
